Resolution No. 1255/2016
of the Management Board of the Warsaw Stock Exchange
dated 28 November 2016

concerning the introduction to exchange trading in the GPW Main List of
series A2 and B bearer ordinary shares of the company
CELON PHARMA S.A.

§ 1

Pursuant to § 38.1 and § 38.3 of the Exchange Rules and § 2.1 of Division 4 of the Detailed Exchange Trading Rules in UTP, the Exchange Management Board resolves as follows:

1) to introduce as of 1 December 2016 by way of an ordinary procedure to exchange trading in the main market the following series bearer ordinary shares of the company CELON PHARMA S.A. a par value PLN 0.10 each:

a) 15,000,000 series A2 shares, coded as “PLCLNPH00015” by the National Depository for Securities,
b) 15,000,000 series B shares, conditional on the registration of the series B shares and their coding as “PLCLNPH00015” by the National Depository for Securities on 1 December 2016;

2) to list the shares of the company CELON PHARMA S.A., mentioned in point 1), in the continuous trading system under the abbreviated name „CLNPHARMA” and the code „CLN”.

§ 2

This Resolution shall take effect on the date of adoption.
