The Issuer’s history and core business
The Issuer is a joint-stock company (société anonyme) entered into the Luxembourg Commercial and Company Register (Registre de Commerce et des Sociétés, Luxembourg), entry no. B214830, established and operating under the law of Luxembourg. The Issuer was established as a limited liability company (société à résponsabilité limitée) in Luxembourg on 5 May 2017. The Issuer was transformed into a joint-stock company (société anonyme) on 27 August 2020. The name of the Issuer was changed from Adinan Super Topco S.à r.l. to Allegro.eu on 27 August 2020.
The members of the Issuer’s Group of companies include Allegro.pl sp. z o.o. and Ceneo.pl sp. z o.o. The Group is the operator of Allegro.pl, an e-commerce platform in Poland, and Ceneo.pl, a price comparison engine in Poland.
Allegro.pl is a recognised e-commerce brand in Poland. As at 30 June 2020, the Group’s e-commerce platform had approx. 12.3 million active buyers who bought from approx. 117,000 sellers in 32 million transactions per month on average in the 12 months ended 30 June 2020. Allegro.pl has approx. 20 million online users per month, equal to 63% of Poles 16 years old or older and 76% of all internet users in Poland. Allegro.pl is one of the top 10 global e-commerce websites and a top 100 global website by number of users per month.
Sellers offer many categories of goods via the Group’s e-commerce platform including: automotive, home and garden, books, multimedia, collections and works of art, fashion and footwear, electronics, kids, health and beauty, sport and tourism, and supermarket. Sellers offer mainly brand-new products on the Group’s e-commerce platform in the B2C model (business-to-consumer) ("B2C"). The C2C business model (consumer-to-consumer) ("C2C") generated 3.5% of the Group’s net income in the 12 months ended 30 June 2020.
Ceneo.pl is the leading Polish price comparison engine. Ceneo.pl is a recognised brand with 21 million users per month on average in 2019. As at 30 June 2020, Ceneo.pl had 18,000 registered online retail stores while consumers using the price comparison service had access to information about 23 million product offers.
The Group operates eBilet, a Polish website where sellers offer tickets to entertainment, cultural, family and sport events who sold 2.3 million tickets via the website in the year ended 31 December 2019. The Group acquired 80% of eBilet in April 2019 and the remaining 20% in September 2020.

  • 23,255,814 new shares

  • 180,950,454 existing shares and 23,255,814 new shares allotted in the Institutional Investor Tranche,
  • 9,342,771 existing shares allotted in the Retail Investor Tranche.

The reduction rate was 85%
