Issuer’s history and business
On 6 September 2011, the District Court of Warsaw in Warsaw, 13th Commercial Division of the National Court Register, issued a decision entering the Issuer into the business register of the National Court Register, entry no. KRS 0000395367. The company BRAND 24 S.A. was founded by Michał Sadowski (currently Company President), Piotr Wierzejewski, Karol Wnukiewicz, and Dawid Szymański. The Company had 62 clients at the end of its first year in business.
On 7 October 2011, the Company issued series B shares and raised PLN 199.2 thousand for its key project: development of software under the working name Brand24 and intensification of sales of services provided by means of the software and a dedicated website. The company LARQ S.A. (previously: Cam Media S.A.) took part in the issue and acquired 30% of the Company’s shares.
In 2012, the Company issued series C shares and raised PLN 40 thousand for the development of the Brand24 solution (then developed under the name Monitoring Brand24) and intensification of sales of services related to the software.
In 2014, the Company had 500 clients. The Issuer released a test global version of the BRAND 24 software. The Issuer also attracted its first US clients in 2014.
On 22 December 2014, the Company issued series D shares and series E shares. Series D shares with an issue value of PLN 369.6 thousand were paid in kind with the debt of two shareholders (including LARQ S.A., previously: Cam Media S.A.) under loan agreements; PLN 68.3 thousand in cash raised in the issue of series E shares was invested in further development of the online content monitoring software Monitoring Brand24 and intensification of sales of services provided by means of the software and a dedicated website, mainly in foreign markets.
In the next issue of series F shares, taken up by the venture capital fund Inovo VC (Inovo Sp.  z o.o. Venture Fund I S.K.A.), the Company raised PLN 1.4 million.
In 2016, Venture Inc S.A. (founders and key managers of LiveChat Software) invested in 11.5% of the Issuer’s shares. The number of clients using BRAND 24 software crossed the mark of 1000 in 2016.
In 2016, the Issuer established a subsidiary, Brand 24 Global Inc. under Delaware (USA) law. The Issuer holds 100% of the share capital and total vote in the company. The subsidiary carries out the same business as the Issuer in the USA and provides solutions identical to Brand24. A reseller agreement signed by the subsidiary and the Issuer in 2016 provides for the distribution of the Brand24 product in the USA and co-operation of the parties necessary to ensure quality service for US clients.
In 2017, the Issuer decided to move its registered office to Wrocław. The Company had more than 2000 clients at the year’s end.
In 2017, the Company launched a new mobile application Brand24, ensuring steady acquisition of clients in the mobile channel. Further development of the application improved its functionalities and the quality of data presentation for international clients. The Brand24 solutions was integrated with new online services.
On 29 April 2020, the Company issued 130,000 series J ordinary bearer shares. The shares were taken up by LARQ Growth Fund I Fundusz Inwestycyjny Zamknięty, Venture INC S.A., and Solution Partners Sp. z o.o. The Company raised PLN 2.8 million in the issue and invested the proceeds in long-term financing of business and improvement of liquidity of the Group as well as payment of a part of the Issuer’s trade receivables.

The Issuer is the developer and vendor of the analytical software Brand24 used to monitor online content among others in social media, blogs, fora, and information services. The Brand24 software tracks and processes public mentions about brands, products, and general topics containing monitored key words according to criteria set by users. The software is available as a web browser version and as a mobile app for Android and iOS devices.
The biggest category of the Group’s clients are small companies with up to 50 staff, accounting for 50% of the total number of clients. The Group’s clients include recognised global and regional brands.

The company BRAND 24 S.A. holds a group comprised of BRAND 24 S.A. as the parent entity and the subsidiary BRAND24 Global Inc. registered in the USA, which is 100% held by BRAND24 S.A.
According to the sales report as at 31 December 2020, Brand24 had 3,470 active clients, representing a net increase by 260 clients quarter on quarter. Brand24 had 3,325 active clients as at 31 December 2019.
