Issuer’s history and business

The Company’s shares were listed in the NewConnect Alternative Trading System from 18 December 2018.

The Company was incorporated on 20 October 2014 under the name Newhall Investments SA. On 27 October 2016, the Issuer’s Extraordinary General Meeting passed a resolution to change the name of the company to Movie Games SA, and the ownership structure of the Company changed. The Company did not carry out any activities in the period between the incorporation of the Issuer and the change in ownership structure. In 2016, the Company entered the gaming industry as a developer, producer and publisher of computer games.
The Issuer is a publisher of games produced both by its own development teams, including those produced within the Movie Games Group, as well as those produced in cooperation with external development teams, which are usually responsible for single titles. As at the Prospectus Date, the Group had 15 employees under a contract of employment, as well as 21 employees under a contract of mandate (umowa zlecenie), 51 employees under an affiliation agreement (umowa współpracy), and 49 employees under a contract for work (umowa o dzieło). The Group produces games with small to medium budgets ranging from PLN 150,000 to PLN 2 million. As at the Prospectus Date, Movie Games has published and co-published 16 games. Selected games from the Issuer’s portfolio are ported to Nintendo Switch, Xbox and PlayStation consoles, as well as to mobile and virtual reality versions, in cooperation with external partners and Group members.
The Group is comprised of Movie Games S.A. as the parent entity/entity with significant influence over other entities, and 14 companies. The Group is made up of entities specialised in developing specific game genres and porting them to specific hardware platforms. Games are ported by three companies: Movie Games Mobile S.A. (porting to mobile versions), Movie Games VR S.A. (porting to virtual reality versions), and Detalion Games S.A. (publishing and porting to console versions). The other companies operate as development studios, each developing games in different genres: Road Studio S.A. (automotive and survival simulation games), Goat Gamez S.A. (sports games), Brave Lamb Studio S.A. (premium indie games), Pixel Crow Games S.A. (games combining elements of strategy and management), Image Games S.A. (high-budget AA projects), Mill Games S.A. (building teams of Romanian game developers and investing in gaming projects), True Games Syndicate S.A. (street-themed simulators), and LifeSim Games S.A. (dream competition simulators). 

Issuer's share capital

The Issuer’s share capital according to a copy of its entry in the National Court Register amounts to PLN 2,573,132 and is divided into 2,573,132 ordinary bearer shares with a nominal value of PLN 1 each, including:

  • 100,000 series A ordinary bearer shares;
  • 700,000 series B ordinary bearer shares;
  • 90,909 series C ordinary bearer shares;
  • 927,273 series D ordinary bearer shares;
  • 400,000 series E ordinary bearer shares;
  • 110,975 series F ordinary bearer shares;
  • 135,634 series G ordinary bearer shares;
  • 108,341 series H ordinary bearer shares.

All shares of the Issuer, with the exception of series A and G shares, are traded on NewConnect.

The Issuer did not conduct a public offering in connection with its new listing on the GPW Main Market.
