Issuer’s history and business

The Company’s shares have been listed in the NewConnect ATS since 26 April 2013.

The Issuer’s origins date back to 1995, when its founders operated as a civil partnership. Subsequently, Polskie Towarzystwo Wspierania Przedsiębiorczości sp. z o.o. was established in 1997, later transformed into a joint-stock company in 2008. Since its inception, the Issuer’s business model has combined the publishing of press magazines and other trade and specialist publications with the organisation of events: congresses, conferences, seminars. The core business therefore covers the following three main segments:

• digital activities as a publisher of business and specialist web portals and the operation of e-commerce platforms,
• organisation of congresses, conferences, trade fairs and other events of a similar nature, as well as publishing activity in the field of trade magazines,
• management, through the subsidiary PTWP Event Center sp. z o.o., of the infrastructure of fair, congress and spectacle venues (International Congress Centre in Katowice and Spodek Sports and Entertainment Hall).

Issuer’s share capital

The Company’s share capital amounts to PLN 618,660 and is divided into 1,237,320 series A and B shares with a nominal value of PLN 0.5 each, including:

• 1,178,362 series A ordinary bearer shares;
• 58,958 series B ordinary bearer shares.

The application for admission covers all issued and registered shares of the Company. Currently all shares of the Company are traded on NewConnect.

• Wojciech Kuśpik – 875,798 shares representing 70.78% of the equity and votes;
• DGA S.A. – 130,322 shares representing 10.53% of the equity and votes;
• Other shareholders  – 231,200 shares representing 18.69% of the equity and votes;
