New listing of SPYROSOFT

The company SPYROSOFT S.A. was newly listed on the GPW Main Market on 17 March 2022.
SPYROSOFT S.A. is the 427th company listed on the Main Market and the second new listing on the Main Market in 2022.

Issuer’s history and business
The Issuer was incorporated in Wrocław under the Founding Deed of a joint-stock company dated 13 April 2016 under the name SpyroSoft Spółka Akcyjna. On 4 May 2016, the District Court for Wrocław-Fabryczna in Wrocław, 6th Commercial Division of the National Court Register issued a decision on the entry of the Issuer into the Register of Entrepreneurs of the National Court Register under the number KRS 0000616387.
The Issuer forms a capital group comprising SpyroSoft S.A. as the parent entity and seven entities subject to consolidation, operating under the following names: Spyrosoft Solutions S.A. with its registered office in Wrocław, GOD Nearshore SE Europejska Spółka Akcyjna Oddział w Polsce with its registered office in Wrocław, Spyrosoft Ltd with its registered office in Ferndown, United Kingdom, Unravel S.A. with its registered office in Wrocław, Spyrosoft Solutions d.o.o. with its registered office in Zagreb, Spyrosoft Solutions GmbH with its registered office in Munich, Spyrosoft Synergy S.A. in organisation with its registered office in Szczecin, as well as other non-consolidated entities. 
SpyroSoft is a software development company founded in 2016 in Wrocław, Poland, operating in the IT industry. As part of its services, the Group provides comprehensive software development solutions, from embedded solutions to high-level public cloud-based systems. The Group offers comprehensive project management, where IT specialists manage projects and related requirements, develop architecture, write and develop the programming layer. The Group provides programming services tailored to the needs and requirements of the clients. Group companies support clients from product concept creation and technology selection, through solution architecture development and implementation, to maintenance and development work.  
The Group works mainly with clients in industries such as finance, automotive, industry 4.0, telemedicine, HR, education, geospatial services. Thanks to its knowledge of the specifics of the industry, it provides not only a solution itself but also consulting services in the selection of IT solutions which are best suited to the needs and regulations of the specific industry. Group companies are responsible for the development of software of various classes and for providing programming services tailored to the needs and requirements of the clients.  
The Issuer conducts operations at its registered office located in Wrocław, as well as in rented offices in Warsaw, Białystok, Kraków and Szczecin. The Group also has offices located outside Poland: in the United Kingdom (Ferndown), Germany (Braunschweig and Munich), Croatia (Zagreb), the United States (Ann Arbor) and India (Vadodara). Operating assets used in the Group’s operations include IT hardware, mainly portable equipment in the form of laptops. In addition, the Group’s assets include stationary equipment (computers, servers), as well as electronic devices, including multimedia. The second group of movables supporting the provision of services consists of the equipment of rented offices, including workstations, as well as the infrastructure of common areas.
The main markets for the Group’s services are countries in the DACH region (Germany, Austria and Switzerland), as well as the USA and Great Britain. The main markets in which projects are carried out are linked to the locations of the offices where the Group conducts its operations through its employees and associates. The offices are located, among others, in London, Munich, Braunschweig and Detroit.
 
The Company's shares have been listed on the NewConnect Alternative Trading System since 28 February 2020.

1,088,728 ordinary bearer shares with a nominal value of PLN 0.10 each issued by SPYROSOFT S.A. were admitted to trading on the GPW parallel market, including:
