Zarząd XTPL S.A. ["Emitent", "Spółka", "XTPL"] informuje, że w dniu 2 grudnia 2025 r. Spółka przyjęła zamówienie na dostawę urządzenia Delta Printing System ["DPS"] którego bezpośrednim zamawiającym jest Vector Technologies ["Partner"].

Vector Technologies jest dystrybutorem Spółki w Grecji [RB 37/2024 z dnia 2 lipca 2024 r.]. Zamówienie jest wynikiem przetargu przeprowadzonego przez Hellenic Mediterranean University _HMU_ na Krecie w Grecji ["Klient"].

Urządzenie DPS będzie wykorzystywane w HMU do projektów badawczo-rozwojowych w dziedzinie elektroniki cienkowarstwowej, w tym fotowoltaiki, czujników oraz memrystorów. Prace z wykorzystaniem urządzenia DPS będą prowadzone przez grupę Nanomaterials for Emerging Devices _Nano@HMU_, będącą jednostką badawczą w ramach Institute of Emerging Technologies HMU.

Przychody uzyskane z realizacji zamówionego urządzenia DPS będą miały pozytywny wpływ na wyniki finansowe XTPL S.A. osiągnięte w 2025 r.

Zarząd Emitenta uznał fakt sprzedaży urządzenia DPS za informację poufną, ponieważ jej realizacja może mieć istotny wpływ na przyszłą sytuację przychodową Emitenta, popularyzację rozwiązań technologicznych Spółki, a także na perspektywę postrzegania Emitenta przez inwestorów.

Z przyczyn wyżej opisanych informacje przekazane w niniejszym raporcie bieżącym w opinii Zarządu Emitenta spełniają kryteria informacji poufnej w rozumieniu art. 7 ust. 1 MAR.

The Management Board of XTPL S.A. ["Issuer", "Company", "XTPL"]
announces that on 2nd December 2025, the Company confirmed an order
placed by Vector Technologies ["Partner"] for the delivery of a Delta
Printing System ["DPS"] device.


Vector Technologies is a distribution partner of the Company in Greece
[CR 37/2024 of July 2, 2024]. The order is the result of a tender
developed by Hellenic Mediterranean University _HMU_ in Crete, Greece
["Client"].


The DPS device will be used at HMU for research and development projects
in the field of thin-film electronics, including photovoltaics, sensors
and memristors. The development using the DPS will be led by the
Nanomaterials for Emerging Devices _Nano@HMU_ group, which is a research
unit within the Institute of Emerging Technologies of the HMU.


Revenue from the execution of the DPS order will have a positive impact
on the financial results of XTPL S.A. in 2025.


The Issuer's Management Board has classified the sale of the DPS device
as inside information, as its implementation may have a significant
impact on the Issuer's future revenue situation, the dissemination of
the Company's technological solutions, and the perception of the Issuer
by investors.


For the reasons outlined above, the information disclosed in this
current report, in the opinion of the Issuer's Management Board, meets
the criteria of inside information as defined in Article 7_1_ of MAR.
