    Rada Dyrektorów _Board of Directors_ Allegro.eu _"Spółka"_ niniejszym informuje, że w dniu 11 marca 2026 r. postanowiła wszcząć proces połączenia Spółki ze spółką Allegro Treasury S. r.l., w ramach którego Spółka będzie podmiotem przejmującym _dalej: "Połączenie"_ oraz podjęła uchwałę o zatwierdzeniu wspólnego planu połączenia określającego warunki Połączenia _"Plan Połączenia"_ pomiędzy Spółką, jako spółką przejmującą, a jej bezpośrednio w 100% zależną spółką Allegro Treasury S. r.l. jako spółką przejmowaną.

    Wyżej wymieniona uchwała została podjęta w następstwie analogicznej uchwały w sprawie przyjęcia Planu Połączenia, podjętej przez organ zarządzający Allegro Treasury S. r.l. w dniu 10 marca 2026 r.

    Szczegółowe informacje dotyczące transakcji, w tym jej warunki prawne, zostały określone w Planie Połączenia, który stanowi załącznik do niniejszego raportu bieżącego.

    Ponadto Spółka informuje, że zgodnie z wymogami luksemburskiej ustawy z dnia 10 sierpnia 1915 r. o spółkach handlowych _ze zm._, Plan Połączenia zostanie w najbliższych dniach złożony w Luksemburskim Rejestrze Handlowym i Spółek _Registre de commerce et des sociétés, Luxembourg_ _RCS_ oraz opublikowany w elektronicznym dzienniku urzędowym RESA _Recueil électronique des sociétés et associations_.

    Subject: Adoption of resolutions on the merger between Allegro.eu and
    Allegro Treasury S. r.l.


    Legal basis: Article 17_1_ of MAR - inside information





    The Board of Directors of Allegro.eu _the "Company"_ hereby announces
    that, on 11 March 2026, it resolved to initiate the process to merge the
    Company with Allegro Treasury S. r.l. whereby the Company would be the
    absorbing entity _the "Merger"_ and adopted a resolution approving the
    common merger plan setting out the terms of the Merger _the "Merger
    Plan"_ between the Company, as the absorbing company, and its directly
    wholly-owned subsidiary, Allegro Treasury S. r.l., as the company being
    absorbed.





    The abovementioned resolution followed a corresponding resolution
    adopting the Merger Plan passed by the board of managers of Allegro
    Treasury S. r.l. on 10 March 2026.





    Detailed information regarding the transaction, including its legal
    terms, is set out in the Merger Plan, which constitutes an attachment to
    this current report.





    Furthermore, the Company informs that, in accordance with the
    requirements of the Luxembourg law of 10 August 1915 on commercial
    companies, as amended, the Merger Plan will be filed with the Luxembourg
    Trade and Companies Register _Registre de commerce et des socits,
    Luxembourg_ _RCS_ and published in the electronic official gazette RESA
    _Recueil lectronique des socits et associations_.
