Zarząd Globe Trade Centre S.A. _"Spółka"_ niniejszym informuje, że w dniu 8 lipca 2026 r. Euro Structor d.o.o., jednostka zależna, w której Spółka posiada 70% udziałów _"Spółka Zależna"_ z siedzibą w Chorwacji, zawarła umowę sprzedaży nieruchomości _"Umowa"_ z AD-16 MALL d.o.o. _"Nabywca"_, dotyczącą sprzedaży nieruchomości Avenue Mall, obejmującej nieruchomość, związane z nią wyposażenie oraz umowy najmu, położonej w Zagrzebiu, w Chorwacji _"Transakcja"_. Transakcja została skonstruowana jako sprzedaż nieruchomości i wyposażenia przez Spółkę Zależną.

Avenue Mall to centrum handlowo-biurowe zlokalizowane w dzielnicy Novi Zagreb w Zagrzebiu, obejmujące powierzchnię handlową ok. 28.000 mkw. oraz powierzchnię biurową klasy A o powierzchni ok. 7.000 mkw.

Prawo własności do nieruchomości Avenue Mall przejdzie na Nabywcę po dopełnieniu czynności zamknięcia określonych w Umowie _"Zamknięcie"_, które zaplanowane jest na dzień 31 lipca 2026 r., lub w późniejszym terminie ustalonym wspólnie przez strony, jednak nie później niż do dnia 31 sierpnia 2026 r. _"Data Ostatecznego Terminu"_.

Zamknięcie Transakcji pozostaje uzależnione od spełnienia typowych warunków zawieszających, w szczególności od uzyskania przez Nabywcę finansowania oraz spłaty całkowitej kwoty zaciągniętego kredytu przez Spółkę Zależną.

Cena zakupu w ramach Umowy wynosi około 98 mln EUR.

Umowa nie zawiera innych szczególnych postanowień, które odbiegałyby od warunków powszechnie stosowanych w umowach tego typu.

Nie istnieją żadne powiązania pomiędzy Spółką oraz osobami zarządzającymi lub nadzorującymi Spółkę a Nabywcą oraz osobami zarządzającymi Nabywcą i Spółką Zależną, z wyjątkiem powiązań wynikających z Umowy.

Title: Disposal of Avenue Mall


The Management Board of Globe Trade Centre S.A. _the "Company"_ hereby
informs that on 8 July 2026, Euro Structor d.o.o., a 70% subsidiary of
the Company _the "Subsidiary"_ incorporated in Croatia, signed an
agreement on the sale and purchase of a real estate _the "Agreement"_
with AD-16 MALL d.o.o. _the "Buyer"_, concerning the sale of the Avenue
Mall property, comprising the real estate, related equipment and lease
agreements, located in Zagreb, Croatia _the "Transaction"_. The
Transaction is structured as a sale of the underlying real estate and
equipment by the Subsidiary.


Avenue Mall is a shopping and office centre located in the Novi Zagreb
district of Zagreb, comprising approximately 28,000 sqm of retail space
and approximately 7,000 sqm of A-class office space.


Title to the Avenue Mall real estate will pass to the Buyer upon
completion of the closing actions set out in the Agreement _"Closing"_,
which is scheduled to take place on 31 July 2026, or at a later date to
be mutually agreed by the parties but not later than 31 August 2026
_"Long Stop Date"_.


Closing of the Transaction remains subject to the satisfaction of
customary conditions precedent, including the completion of acquisition
debt financing by the Buyer and full repayment of the outstanding loan
by the Subsidiary.


The purchase price under the Agreement is approximately EUR 98 million.


The Agreement does not contain any other specific terms and conditions,
which may be different from those commonly used for agreements of such
type.


There are no relations between the Company and the persons managing or
supervising the Company and the Buyer and persons managing the Buyer and
the Subsidiary, except for the relations resulting from the Agreement.
