Zarząd "DINO POLSKA" S.A. _"Spółka"_, w nawiązaniu do raportu bieżącego nr 8/2023 dotyczącego zawarcia ze spółką eZebra.pl sp. z o.o. z siedzibą w Lublinie _"eZebra"_ oraz jej wspólnikami _"Założyciele"_ Przedwstępnej warunkowej umowy sprzedaży udziałów i umowy wspólników _"Umowa"_, informuje, że 3 kwietnia 2024 r. doszło do realizacji wyżej wymienionej Umowy. W jej wyniku Spółka stała się właścicielem 72,22% udziałów eZebra, a po zarejestrowaniu podwyższenia kapitału zakładowego eZebra, będzie posiadać 75% udziałów _"Udziały"_.
eZebra prowadzi drogerię internetową pod adresem ezebra.pl, która oferuje szeroką paletę artykułów kosmetycznych i perfumeryjnych oraz akcesoriów z kategorii uroda, zdrowie, pielęgnacja osobista i gospodarstwo domowe.
Łączna cena za Udziały wyniosła 63 mln PLN _kwota ta podlegać będzie weryfikacji według wybranych rzeczywistych danych finansowych na Dzień Zamknięcia_, z czego 11,5 mln zł zasiliło eZebra jako wkład z tytułu objęcia przez Spółkę nowych udziałów w kapitale zakładowym eZebra i wesprze jej dalszy rozwój, a kwota 51,5 mln zł stanowiła zapłatę za istniejące udziały.
Zgodnie z Umową, w odniesieniu do pozostałych 25% udziałów eZebra, Spółce przyznane zostało prawo do ich nabycia _Opcja Call_, a Założycielom prawo zbycia _Opcja Put_ na rzecz Spółki, na warunkach i w terminach opisanych w raporcie bieżącym nr 8/2023.

Current Report no. 5/2024 - Acquisition by DINO POLSKA S.A. of an equity
stake in the internet drugstore eZebra.pl sp. z o.o.


In reference to current report no. 8/2023 concerning the conclusion of
the Preliminary Conditional Agreement for the Sale of Shares and the
Shareholder Agreement _"Agreement"_ with the company doing business as
eZebra.pl sp. z o.o. with its registered office in Lublin _"eZebra"_ and
its shareholders _"Founders"_, the Management Board of DINO POLSKA S.A.
reports that on 3 April 2024 the aforementioned Agreement has been
completed. As a result thereof, the Company has become the owner of a
72.22% equity stake in eZebra, while following the registration of the
increase of the share capital held by eZebra, it will hold a 75% equity
stake.


eZebra runs an internet drug store at the website of ezebra.pl that
offers a wide range of cosmetics, perfumes and accessories in the
beauty, health, personal hygiene and household categories.


The total price for the Shares is PLN 63 million _this amount is subject
to verification according to selected actual financial data as of the
Closing Date_, of which PLN 11.5 million has been contributed to eZebra
as a contribution-in-kind to subscribe for new shares in the share
capital of eZebra and support its ongoing development, while the amount
of PLN 51.5 million constitutes payment for the secondary shares.


Pursuant to the Agreement, in reference to the remaining 25% equity
stake of eZebra, the Company has been given the right to acquire it
_Call Option_, and the Founders have been given the right to put that
equity stake to the Company _Put Option_, under the terms and on the
dates described in current report No. 8/2023.
