ENEFI Vagyonkezelő Nyrt. _"Company"_ informs its Dear Investors that based on the
information provided today by Csaba Soós, a shareholder and member of the Board of
Directors of the Company:
- Csaba Soós and EETEK Ltd. have agreed on a share exchange transaction today.
Based on the agreement, Csaba Soós will exchange the 1,452,898 convertible
dividend preference shares with a nominal value of HUF 10 issued by ENEFI
Vagyonkezelő Nyrt., registered, dematerialized, ISIN HU0000173737, owned by
ETTEK Ltd. for 1,452,898 ordinary shares with a nominal value of HUF 10 issued by
ENEFI Vagyonkezelő Nyrt., registered, dematerialized, ISIN HU000089198. _The
settlement was uniformly made at the 180-day moving average of ENEFI shares:
243.5313,- HUF_
- Csaba Soós also announced today that he is exercising his purchase right for
630,000 ordinary shares issued by ENEFI Vagyonkezelő Nyrt., with a nominal value of
10,- HUF, registered, dematerialized, ISIN designation HU0000089198.
The Company will fulfill its obligation arising from the option agreement, in the
absence of
its own shares, with ENEFI shares owned by its affiliated companies _ENEFI Projekttársaság
Kft. and EETEK Ltd_. The settlement within the group of companies will be settled
at a price
of 243.5313,- HUF/share, against the loan positions existing between the companies.
- Csaba Soós also announced today that he will initiate the conversion of the
convertible dividend preference shares issued by the Company with a nominal value
of 10,-Ft, registered, dematerialized, ISIN HU0000173737.
In view of the above, the Board of Directors of the Company will begin making and
implementing decisions related to the conversion.
The Company draws attention to the fact that the share transactions have not yet been
completed, after the implementation, the number of shares will change as follows:
