Title: Execution of a non-exclusive strategic partnership agreement with Manz Asia - entry into a semiconductor innovation center in Taiwan, expansion of the distribution network in Taiwan and India, and sale of the DPS device. Legal basis: Article 17_1_ MAR - inside information Content of the Report: The Management Board of XTPL S.A. _the "Issuer", the "Company", "XTPL"_ hereby reports that on February 23, 2026 a non-exclusive strategic partnership agreement _the "Agreement"_ was signed between the Issuer and Manz Asia _the "Manz", the "Partner"_, with its registered office in Taiwan. Subject matter and scope of the Agreement Pursuant to the Agreement, the parties establish a multi-dimensional cooperation covering two main areas: 1. Under the Agreement, Manz Asia has purchased from XTPL a Delta Printing System device _the "DPS"_, which will be installed at the Manz Semiconductor Innovation R_D Center in Taoyuan, Taiwan, in the first half of 2026. Within this center, XTPL and Manz Asia will jointly conduct demonstrations and evaluations of the Ultra-Precise Dispensing _the "UPD"_ technology for industrial clients in the advanced packaging sector. Both partners contribute their respective client networks interested in precision printing technology. The Manz innovation center will serve as a gateway to the local industrial ecosystem and technology decision-makers. In the long term, the partnership includes the possibility of integrating the UPD technology into Manz Asia's machines for dedicated customer implementation projects. 2. Manz Asia will assume the role of distributor of XTPL's products and services in Taiwan and India, where it has been operating for nearly 20 years and maintains a specialized sales and technical support team serving the advanced microelectronics sector. The Agreement is non-exclusive in nature. The Company and the Partner retain full freedom to enter into additional partnerships with other entities in Asian and global markets. Significance of the Agreement for the Company Taiwan is one of the key global markets for semiconductor technologies and one of XTPL's strategic markets. The Company is currently conducting an advanced evaluation project with a leading Taiwanese semiconductor manufacturer. The partnership with Manz Asia significantly shortens the distance to decision-makers and innovators within the local industrial ecosystem. The joint demonstration center in Taoyuan enables the evaluation of XTPL's technology in close proximity to potential clients, which is a critical factor in the procurement processes of major industrial players in the region. For XTPL, the partnership with a recognized local entity represents an optimal model for entering Asian markets. It complements the wholly-owned subsidiary model successfully implemented in the United States _XTPL Inc., Boston_ and enables faster market penetration with significantly lower capital commitment. About Manz Asia Manz Asia is a leading manufacturer of advanced semiconductor equipment, employing approximately 380 engineers and specialists, with more than 40 years of experience in automating manufacturing processes for the semiconductor and display sectors. The company specializes in panel-level packaging, including Fan-Out Panel-Level Packaging _the "FOPLP"_, Through Glass Via _the "TGV"_, and IC substrates technologies. It maintains operational structures in Taiwan _Taoyuan_, China _Suzhou_, and India _New Delhi_, as well as a dedicated Semiconductor Innovation R_D Center in Taoyuan. The Management Board of the Issuer has classified the execution of the Agreement as inside information, as its implementation may have a material impact on the Issuer's future financial position, the adoption of the Company's technological solutions, and the Issuer's perception among investors. For this reason, in the opinion of the Management Board, the information about the execution of the Agreement meets the criteria set out in Article 7_1_ of the MAR.
