Podstawa prawna: Art. 539 § 1 i 2 oraz art. 540 w związku z art. 402_1_ §1 ustawy z dnia 15 września 2000 r. - Kodeks spółek handlowych.

W nawiązaniu do raportu bieżącego nr 32/2025 z dnia 25 lipca 2025 r. Zarząd Banku Handlowego w Warszawie S.A. _"Bank"_, działając na podstawie art. 539 § 1 i 2 oraz art. 540 w zw. z art. 402_1_ §1 ustawy z dnia 15 września 2000 r. - Kodeks spółek handlowych _"KSH"_, zawiadamia akcjonariuszy po raz drugi o zamiarze podziału Banku przez wyodrębnienie działalności detalicznej Banku _"Działalność Detaliczna"_ na rzecz VeloBank S.A. _"VeloBank"_ _"Podział"_.

Podział zostanie przeprowadzony w formie podziału przez wyodrębnienie zgodnie z procedurą określoną w art. 529 § 1 pkt 5 KSH. W ramach Podziału zorganizowana część przedsiębiorstwa Banku, tj. Działalność Detaliczna, zostanie przeniesiona na VeloBank, podczas gdy pozostała zorganizowana część przedsiębiorstwa Banku _"Główna Działalność Banku"_ pozostanie w Banku.

Zgodnie z art. 530 § 2 KSH, Działalność Detaliczna zostanie przeniesiona na VeloBank w dniu rejestracji podwyższenia kapitału zakładowego VeloBank poprzez emisję akcji podziałowych na rzecz Banku _"Dzień Podziału"_. Zgodnie z umową dotyczącą Podziału zawartą w dniu 27 maja 2025 r. pomiędzy Bankiem, VeloBankiem, Promontoria Holding 418 B.V. _jedyny akcjonariusz VeloBanku_ _"Promontoria"_ oraz Citibank Europe Plc, powyższe akcje podziałowe VeloBanku wyemitowane na rzecz Banku zostaną odkupione przez Promontoria niezwłocznie po Dniu Podziału, nie później jednak niż następnego dnia po Dniu Podziału.
W wyniku Podziału, zgodnie z art. 531 § 1 KSH, VeloBank w Dniu Podziału przejmie Działalność Detaliczną. W konsekwencji, począwszy od Dnia Podziału, Bank będzie prowadził działalność ograniczoną do Głównej Działalności Banku, natomiast zakres działalności VeloBanku zostanie rozszerzony o Działalność Detaliczną.
W związku z Podziałem kapitał zakładowy Banku nie zostanie obniżony.

Plan Podziału został ogłoszony i udostępniony do wiadomości publicznej zgodnie z art. 535 § 3 KSH poprzez jego zamieszczenie na stronie internetowej Banku: https://www.citibank.pl/poland/homepage/polish/relacje inwestorskie.htm

Zgodnie z art. 540 § 3_1_ KSH, Bank niniejszym zawiadamia, że do zakończenia walnych zgromadzeń akcjonariuszy Banku oraz VeloBanku, których porządek obrad obejmuje podjęcie uchwał w sprawie Podziału, akcjonariusze mogą zapoznać się z poniższymi dokumentami za pośrednictwem strony internetowej Banku w zakładce: https://www.citibank.pl/poland/homepage/polish/relacje inwestorskie.htm tj. akcjonariuszom udostępnia się w wersji elektronicznej, z możliwością wydruku:
1. Plan Podziału wraz z załącznikami;
2. sprawozdania finansowe Banku oraz sprawozdania Zarządu Banku z działalności Banku za trzy ostatnie lata obrotowe, wraz ze sprawozdaniami z badania;
3. sprawozdania finansowe VeloBanku oraz sprawozdania Zarządu VeloBanku z działalności VeloBanku za trzy ostatnie lata obrotowe, wraz ze sprawozdaniami z badania.

W powyższej zakładce udostępnione zostały również dodatkowe dokumenty związane z Podziałem, tj. sprawozdanie Zarządu VeloBanku sporządzone na podstawie art. 311 w związku z art. 538_1_ § 3 KSH wraz z załącznikami oraz opinia biegłego rewidenta z badania tego sprawozdania.

Subject: Second notification of the planned
demerger of Bank Handlowy w Warszawie S.A.


Legal basis: Article
539 § 1 and 2 and Article 540 in connection with Article 402_1_ § 1 of
the Act of 15 September 2000 - the Commercial Companies Code.


With reference to current report No. 32/2025 dated 25
July 2025, the Management Board of Bank Handlowy w Warszawie S.A. _the "Bank"_,
acting pursuant to Article 539 § 1 and 2 and Article 540 in connection
with Article 402_1_ § 1 of the Act of 15 September 2000 - the Commercial
Companies Code _the "CCC"_, makes a second notification of
the intention to demerge the Bank through separation of the Bank's
consumer business _the "Consumer Business"_ in favour of
VeloBank S.A. _"VeloBank"_ _the "Demerger"_.


The Demerger will be effected through a demerger by
separation in accordance with the procedure specified in Article 529 § 1
point 5 of the CCC. Under the Demerger, an organised part of the
business of the Bank, i.e. the Consumer Business, will be transferred to
VeloBank, while the remaining organised part of the business of the Bank
_the "Key Business of the Bank"_ will remain with the Bank.


Pursuant to Article 530 § 2 of the CCC, the Consumer
Business will be transferred to VeloBank on the date of registration of
the share capital increase of VeloBank by way of the issuance of the
demerger shares to the Bank _the "Demerger Effective Date"_.
Pursuant to the agreement regarding the Demerger entered into on 27 May
2025 by the Bank, VeloBank, Promontoria Holding 418 B.V. _the only
shareholder of the VeloBank__"Promontoria"_ and Citibank
Europe Plc, the aforementioned VeloBank demerger shares issued to the
Bank will be repurchased by Promontoria immediately after the Demerger
Effective Date, but no later than the day following the Demerger
Effective Date.


As a result of the Demerger, pursuant to Article 531
§ 1 of the CCC, VeloBank will on the Demerger Effective Date assume the
Consumer Business. Consequently, starting from the Demerger Effective
Date, the Bank will conduct activity limited to the Key Business of the
Bank, and the activity of VeloBank will be expanded to encompass the
Consumer Business.


In connection with the Demerger, the Bank's share
capital will not be decreased.


The Demerger Plan has been published and made
available to the public pursuant to Article 535 § 3 of the CCC by
publishing it on the Bank's website: https://www.citibank.pl/poland/homepage/english/investor-relations.htm



In accordance with Article 540 § 3_1_ of the CCC, the
Bank hereby notifies that until the conclusion of the general meetings
of the shareholders of the Bank and VeloBank, the agendas of which
include the adoption of resolutions concerning the Demerger,
shareholders may review the following documents on the Bank's website: https://www.citibank.pl/poland/homepage/english/investor-relations.htm,
i.e. the following documents are made available to the shareholders in
electronic form with the possibility of printing:


1. the
Demerger Plan together with the schedules thereto;


2. the
financial statements of the Bank and the Management Board's reports on
the Bank's operations for the last three financial years, together with
the audit reports;


3.
the financial statements and the
Management Board's reports on the operations of VeloBank for the last
three financial years, together with the audit reports.


Additional documents related to the Demerger,
including VeloBank's Management Board report, with annexes thereto,
drawn up pursuant to Article 311 in connection with Article 538_1_ §3 of
the CCC and the statutory auditor's opinion on this report, were also
made available in the above section.
