City Service SE _the "Company"_, registered in Estonia _reg. no. 12827710_, is contemplating an issuance of senior secured callable bonds _the "Bonds"_ in an initial nominal amount of EUR 100,000,000 with a 4-year maturity. The Bonds will bear floating-rate interest at 3M EURIBOR plus a margin to be determined.

Net proceeds from the Bonds are intended to be used to finance the acquisition of 100% of the shares in UAB Axioma Servisas _as separately announced by the Company_, as well as for refinancing of existing indebtedness and general corporate purposes.

The Bonds will constitute senior secured obligations of the Company. The Bonds are expected to be admitted to trading on Euronext Oslo Brs and an MTF following issuance.

Pareto Securities AS, Frankfurt Branch acts as sole manager and bookrunner. Investor meetings are expected to be arranged in the near term, following which an issuance may be launched, subject to prevailing market conditions.
