ORLEN Supervisory Board appointed the Company's Management Board for the new joint
term of officeRegulatory announcement no 22/2026 dated 2 June 2026ORLEN S.A. _"Company"_
announces that the Company's Supervisory Board following its meeting on 2 June 2026,
appointed following persons to the Company's Management Board:- Mr Ireneusz Fąfara
to the position of President of the Management Board,- Mr Sławomir Jędrzejczyk to
the position of Vice-President of the Management Board, Financials,- Mr Ireneusz Sitarski
to the position of Vice-President of the Management Board, Downstream,- Mr Robert
Soszyński to the position of Vice-President of the Management Board, Operations,-
Mr Marek Balawejder to the position of Vice-President of the Management Board, Consumers
and Products,- Mr Marcin Wasilewski to the position of Vice-President of the Management
Board, Development and Investments, - Mr Sławomir Staszak to the position of Vice-President
of the Management Board, Energy,- Mr Wiesław Prugar to the position of Vice-President
of the Management Board, Upstream,for the common term of office, starting from the
day coming after the day of termination of the current common term of office of the
Company's Management Board, i.e. after the day of the Ordinary Shareholders Meeting
that will approve financial statement for 2025.All persons appointed today hold the
position of Members of ORLEN Management Board in the current term of office.Mr Ireneusz
FąfaraPresident of the Management Board since 11 April 2024An expert in the fuel and
energy sector, with several decades of experience managing large organisations and
overseeing multi-billion projects. From 2010 to 2017, he worked for the ORLEN Group
as CEO of ORLEN Lietuva.Since the late 1990s, he has held top managerial positions
at large companies, both public and private.He served on the Supervisory Boards of
Rockbridge TFI _2018-2024_, PKO BP _2009-2010_, LOTOS _2009-2010_, Korporacja Ubezpieczeń
Kredytów Eksportowych _2007-2009_, Kompania Węglowa _2003-2005_, National Health Fund
_2005-2008_, and Agencja Rynku Energii S.A. _1997-1998_.The President of the Management
Board of Bank Gospodarstwa Krajowego _2007-2009_ and Vice President of the Management
Board of the Polish Social Insurance Institution ZUS _1998-2007_.Mr Fąfara is a graduate
of the University of Economics in Kraków.Mr Sławomir JędrzejczykOn the Management
Board since 24 September 2025An executive with nearly 30 years of experience acquired
in companies listed on the Warsaw Stock Exchange. From 2008 to 2017, he served as
Vice President of the Management Board, Chief Financial Officer of PKN ORLEN S.A.,
and held positions on the governing bodies of ORLEN Lietuva, Unipetrol a.s. and Orlen
Upstream Canada. His scope of responsibility included delivery of value growth strategy,
as wellas finance, controlling, accounting, supply chain, investor relations, M_A
and IT. From 2017 to 2025, he was active as a mentor, investor and independent member
of supervisory boards. Earlier in his career, he was CEO of Emitel and held positions
at Telekomunikacja Polska, ORFE, Impexmetal and Price Waterhouse. Mr Jędrzejczyk completed
the Senior Executive Program at London Business School and is also a graduate of ACCA
and Lodz University of Technology.Mr Ireneusz SitarskiOn the Management Board since
16 May 2024Mr Sitarski holds a Master's degree in economics from the Faculty of Foreign
Trade at the Higher School of Planning and Statistics _SGPiS_, now the SGH Warsaw
School of Economics. He is an economic adviser specialising in finance, corporate
restructuring, mergers and acquisitions. He has extensive experience in advisory and
privatisation projects, business valuation, and the restructuring of distressed loan
portfolios. He formerly served as chief executive of the company managing the National
Investment Fund, where he was responsible for restructuring projects and corporate
acquisition and disposal transactions. In government administration, as Undersecretary
of State from 1994 to 1996 and again from 2001 to 2003, he oversaw the transformation
of state enterprises into commercial state-owned companies. He sat on the Management
and Supervisory Boards of numerous companies, including NFI Foksal, Impexmetal, Telekomunikacja
Polska, Giełda Papierów Wartościowych w Warszawie S.A. _Warsaw Stock Exchange_, PTU,
BGŻ, Dwory, Huta Aluminium Konin and PESA Bydgoszcz.Mr Robert SoszyńskiOn the Management
Board since 1 May 2024An executive with more than 30 years of experience in managing
commercial-law companies, primarily in the energy sector. Previously, he held the
positions of CEO of CIECH Service Sp. z o.o. _2008_, CEO of PERN Przyjaźń S.A. _2008-2011_,
and Vice President of the Management Board of Polskie LNG S.A. _2015_. From 2018 to
2021, he served as Deputy President of the City of Warsaw. He successfully coordinated
a number of major investment projects, including the construction of a crude oil tank
farm and strategic energy security projects related to the LNG terminal in Świnoujście.
He is a graduate of the Warsaw University of Technology and completed an MBA at the
University of Gdańsk. He serves on the Supervisory Boards of a number of companies,
including Rockbridge TFI S.A., PAGED Energy S.A. and Koleje Mazowieckie. Mr Soszyński
is qualified to serve on the Supervisory Boards of state-owned companies.Mr Marek
BalawejderOn the Management Board since 1 August 2024An executive with 30 years of
experience gained in Polish and international companies, including companies listed
on the Warsaw Stock Exchange. He joined ORLEN in 2024, first as Member of the Management
Board for Retail Sales. Then, since 2025, he has served as Member of the Management
Board for Consumers _ Products, with responsibility for integrating the service station
business with the myORLEN and Energa Obrót offerings, as well as for developing a
comprehensive multi-energy offer based on the Vitay platform. Earlier in his career,
he held management positions at PepsiCo, Polkomtel, Raiffeisen and Action. From 2009
to 2016, he served as President of Orlen Gaz and Executive Director for Retail Sales
atPKN ORLEN. Between 2017 and 2024, he worked as an investor and consultant, delivering
projects for companies including Eurocash, Metro Group and Benefit Systems. Mr Balawejder
is a graduate of the University of Physical Education in Warsaw, Kozminski University
and the SGH Warsaw School of Economics, and has completed MBA and AMP programmes.
He is currently continuing his executive education at IMD Business School.Mr Marcin
WasilewskiOn the Management Board since 6 November 2024An executive with many years
of experience in industry and the energy sector. From 2022 to 2024, he served as CEO
of InnoEnergy Poland and as a member of the Executive Board of InnoEnergy SE. Earlier,
from 2018 to 2022, he was Vice President of ABB Poland, exercising oversight over
the power and industrial businesses in Poland, the Czech Republic and Hungary. Between
2006 and 2018, he held a number of roles within the ORLEN Group, including at ANWIL
and Baltic Power, and served on the Supervisory Boards of a number of Group companies.
He contributed to the ORLEN's energy strategy and was responsible for building the
Group's energy segment, CCGT projects, and investments designed to align the Group's
energyassets with EU requirements. He was also involved in the development of electricity
trading and electric mobility infrastructure. Before that, he had an active role in
integrating AB Mažeiki Nafta _now ORLEN Lietuva_ into ORLEN Group structures and in
implementing segment-based management, which remains the foundation of the Group's
current management model. He is a member of the Polish Committee of the World Energy
Council. Mr Wasilewski graduated from Florida Atlantic University and Warsaw University
of Technology, holds an MBA from the University of Bradford, and completed the GMP
at Harvard University.Mr Sławomir StaszakOn the Management Board since 29 September
2025An executive and energy sector expert with many years of experience in managing
investment and infrastructure processes, corporate governance, and the regulatory
area. Since September 2025, he has served on the Management Board of ORLEN S.A., where
he oversees the Group's energy portfolio. At the same time, he serves as Chairman
of the Supervisory Boards of Baltic Poweroverseeing the construction of Poland's first
offshore wind farm with a capacity of 1.2 GWand ORLEN Neptun.Previously, he served
as President of the Management Board of Energa Group S.A., managing one of the largest
energy companies in Poland and being responsible for multi-billion investment expenditures,
the operationalization of renewable energy projects, gas-steam units, the development
of distribution networks, and large-scale energy storage facilities.He has extensive
legal and business expertise. For more than a decade, as a managing partner and legal
counsel, he advised energy and infrastructure companies. His experience in this area
includes international strategic negotiations and the shaping of legal frameworks
for EPC, O_M, and PPA contracts.He has extensive experience in corporate governance.
In his career, he has held positions on the Supervisory Boards of ORLEN Group companies,
including Energa S.A., ENERGA-OPERATOR S.A., and Energa Obrót, as well as Baltic Offshore
Service Solution, and also in companies outside the Group, including the Port of Gdynia
Authority S.A.He actively participates in the work of industry and academic organizations.
Since June 2024, he has been Vice-President of the Management Board of the Polish
Electricity Association. In April 2026, upon nomination by the Minister of Energy,
he was appointed to the Scientific Council of the Institute of Power Engineering _term
2026-2030_. He also supports the academic community as a member of the Economic Advisors
Team to the Rector of Gdańsk University of Technology.He is engaged in ESG mattersenvironment,
climate, and sustainable development. He participated in the COP29 World Climate Summit
in Azerbaijan.He is a graduate of the Faculty of Law and Administration at the University
of Gdańsk _LL.M._ and is a registered legal counsel _District Chamber of Legal Counsels
in Gdańsk_. He completed the Executive Program for Energy Leaders at Texas McCombs
School of Business with the highest possible result. He is also a graduate of the
Artificial Intelligence: Implications for Business Strategy program, delivered by
the MIT Sloan School of Management.Mr Wiesław PrugarOn the Management Board since
1 May 2024An energy industry expert with 40 years of experience. He graduated from
the AGH University of Science and Technology in Kraków, where he earned an MSc in
Engineering and a PhD degree. He began his career at the Oil and Gas Institute, working
in research and engineering roles. He later moved to the private sector and gained
management experience in services for the upstream industry. At PGNiG, he held a number
of key positions, including Head of the Gas Sales and Marketing Division. From 2005
to 2017, he served as President of the Management Board of ORLEN Upstream. He served
on the Supervisory Boards of a number of companies, including state-owned companies,
and on the Board of Directors of the Energy _ Geoscience Institute _EGI_ at the University
of Utah. He is an active member of industry organisations, including the World Petroleum
Congress. Over the course of his career, he led numerous investment, acquisition and
restructuring projects in the oil and gas sector. In recent years, he has also focused
on the development of lowcarbon and renewable energy sources.Each of the appointed
Members of ORLEN Management Board submitted statement that they will not be involved
in any activity competitive with ORLEN S.A. nor are they partners in any competitive
civil, partnership or capital companies, and are not involved in other competitive
legal entities as a member of their governing bodies. The appointed also declared
that they are not listed in the Register of Insolvent Debtors kept pursuant to the
Act of 20 August 1997 on the National Court Register.
