W nawiązaniu do:
_i_ raportu bieżącego nr 12/2025 z dnia 27 maja 2025 r. dotyczącego podpisania przez Bank Handlowy w Warszawie S.A. _"Bank"_ z VeloBank S.A. _"VeloBank"_, Promontoria Holding 418 B.V. _jedynym akcjonariuszem VeloBanku_ _"Promontoria"_ oraz Citibank Europe Plc umowy dotyczącej podziału Banku _"Podział"_ poprzez wyodrębnienie działalności detalicznej Banku _"Działalność Detaliczna"_ do VeloBanku _"Umowa"_ oraz
_ii_ raportu bieżącego nr 25/2026 z dnia 12 czerwca 2026 r. dotyczącego rejestracji Podziału w dniu 12 czerwca 2026 r. _"Dzień Podziału"_,
Zarząd Banku informuje, że w wykonaniu postanowień Umowy Bank sprzedał w dniu 12 czerwca 2026 r. na rzecz Promontoria 744 843 akcji VeloBanku, tj. wszystkie akcje VeloBanku, które zostały objęte przez Bank w wyniku Podziału.
Z tytułu sprzedaży akcji VeloBanku Promontoria uiściła na rzecz Banku płatność ceny sprzedaży obejmującą:
_i_ komponent stały ceny wynoszący 430 mln zł, obliczony w oparciu o aktywa netto Działalności Detalicznej według ich szacowanej wartości na Dzień Podziału, który został rozpoznany w wynikach Banku za II kwartał 2025 r.;
_ii_ maksymalną przewidzianą w Umowie kwotę służącą czasowemu rozliczeniu komponentu zmiennego ceny; Bank przekaże w osobnym raporcie bieżącym szacowaną wysokość tego komponentu, niezwłocznie po jej ustaleniu.

Zarówno stały, jak i zmienny komponent ceny sprzedaży będą podlegać korekcie na warunkach uzgodnionych w Umowie, w szczególności w celu uwzględnienia odpowiednio: finalnej wysokości aktywów netto Działalności Detalicznej na Dzień Podziału oraz finalnych wolumenów biznesowych Działalności Detalicznej na Dzień Podziału. O ustaleniu ostatecznej skorygowanej ceny sprzedaży Bank poinformuje w osobnym raporcie bieżącym.

result of the demerger of Bank Handlowy w Warszawie S.A.

Parliament and of the Council of 16 April 2014 _MAR Regulation_.


In reference to:

current
report No. 12/2025 dated 27 May 2025 regarding the execution by Bank
Handlowy w Warszawie S.A. _the "Bank"_ with VeloBank S.A. _"VeloBank"_,
Promontoria Holding 418 B.V. _the sole shareholder of VeloBank_ _"Promontoria"_,
and Citibank Europe Plc of an agreement regarding Bank's demerger by
separation _the "Demerger"_ of the Bank's consumer business
_the "Consumer Business"_ in favour of VeloBank _the "Agreement"_
and


_ii_ current
report No. 25/2026 dated 12 June 2026 regarding the registration of the
Demerger on 12 June 2026 _the "Demerger Effective Date"_,


the Management Board of
the Bank announces that, pursuant to the provisions of the Agreement, on
12 June 2026 the Bank sold to Promontoria 744,843 shares in VeloBank,
i.e. all of the shares in VeloBank subscribed by the Bank as a result of
the Demerger.


In consideration for the
sale of the shares in VeloBank, Promontoria made a payment to the Bank
comprising:


_i_ a
fixed price component of PLN 430 million, based on the net assets of the
Consumer Business transferred by the Bank to VeloBank at their estimated
value as at Demerger Effective Date, which was recognized in the Bank's
results in the second quarter of 2025; and


_ii_ the
maximum amount provided for in the Agreement, serving as a temporary
settlement, of the variable price component; the Bank will disclose the
estimated amount of this component in a separate current report as soon
as it has been determined.


Both the fixed and
variable components of the sale
price will be subject to adjustment on the terms provided for in the
Agreement, in particular to reflect the final
net asset value of the Consumer Business as at the Demerger Effective
Date and the final business volumes of the Consumer Business as at the
Demerger Effective Date. The Bank will publish
information regarding the determination of the final adjusted sale price
in a separate current report.
