    On 17 July 2026, Pepco Group N.V. _the Company_ published a Notice of an Extraordinary General Meeting to be held on 2 September 2026 _the EGM_. Item 2 of the Agenda for the EGM seeks additional authorisation of the Board to have the Company acquire up to 10% of the ordinary shares in its own capital _Item 2_. The Company now clarifies, in connection with the cancellation of the Original Tender Offer and simultaneous relaunch of a new, revised pro-rata tender buyback on 28 July 2026 _the New Revised Tender Offer_, that it will only seek the authorisation under Item 2 if the New Revised Tender Offer has completed on or around 17 August 2026
