Subject: Adoption of Polsat Plus Group's Strategy for 2027-2030+The Management Board of Cyfrowy Polsat S.A. _the "Company"_ informs that on 28 October 2026 the strategy of Polsat Plus Group _the "Group"_ for 2027-2030+ entitled "Polsat Plus Group Refocused" _the "Strategy"_ has been adopted. The overarching objective of the Strategy is to build sustainable value for the Group, and it is based on three pillars: _1_ simplifying the Group's structure, _2_ focusing on operations in the telecommunications, media and technology sector _"TMT"_, and _3_ strengthening the Group's financial foundations and reducing its indebtedness.1. Simplification of the Group's structureA key pillar of the Strategy is a review of strategic options for the Group's energy and real estate assets, which fall outside its core TMT business. The Group will seek to divest these assets to release the capital invested in them and simplify its structure, with the ultimate aim of focusing exclusively on TMT operations. Proceeds from any potential sale will be used primarily to reduce the Group's debt.As part of the strategic options review, the priority will be to maximise the value generated for the Group. The Group will retain flexibility regarding the structure, scope and timing of any potential asset disposals, and decisions will be made taking into account market conditions and the attractiveness of available offers.2. Focus on TMT operationsThe Group will pursue growth and development in the TMT sector through three strategic priorities: _1_ developing its B2C and B2B businesses, _2_ scaling the business through strategic partnerships, and _3_ optimising operations and enhancing efficiency.Development of the B2C and B2B operationsThe Strategy envisages strengthening B2C operations through the multiplay strategy and strengthening B2B operations through digital and AI solutions. In the B2C segment, the Group will continue its multiplay strategy, combining high-quality telecommunications services with a broad content portfolio. Cross-selling to the existing customer base and increasing the number of services per customer offer significant growth potential and are expected to support growth in ARPU, customer loyalty and revenue. In the B2B segment, the Group will focus on developing its offering in cloud, AI, data, cybersecurity and other digital services. The B2B offering will target small and medium-sized enterprises, large companies and international customers, leveraging the Group's customer base and infrastructure as well as solutions provided by strategic partners. These initiatives are intended to build new, scalable and recurring revenue streams and increase the value of relationships with business customers.Scaling the business through strategic partnershipsPartnerships with Cellnex, Vodafone, YouTube and Google Cloud are expected to support the implementation of the Strategy across key areas of the Group's TMT operations. Cellnex will support the expansion and modernisation of the mobile network. Vodafone will enable the implementation of proven efficiency-enhancing solutions, particularly in customer care, and support the development of B2B operations. YouTube will facilitate the broader digital distribution and monetisation of content. Google Cloud will support the development of cloud services and AI solutions for business customers, as well as the Group's technological transformation.Optimisation
and enhanced operational efficiencyThe Group will enhance its operational efficiency by deploying AI and automation and transforming its IT systems. These initiatives will streamline internal processes, optimise costs, increase team productivity, and strengthen data security and business continuity. In parallel, the Group is implementing a project to modernise its fixed-line network and open it to wholesale access, with the aim of improving the utilisation of its existing infrastructure and creating new recurring revenue streams in the TMT sector.3. Financial targetsThe Strategy aims to restore the Group's potential to pay dividends by 2030 by simplifying its balance sheet, strengthening its financial foundations and achieving a sustainable reduction in debt. To support this objective, the Group has adopted the following medium- and long-term financial targets:- an average annual decline of 2-3% in TMT EBITDA between 2026 and 2029, assuming estimated TMT EBITDA of PLN 2.9 billion in 2026. During this period, the Group will focus on transforming and modernising its TMT operations to improve the quality and competitiveness of its services and lay strong foundations for growth in subsequent years;- an average annual TMT EBITDA growth of 4-6% between 2029 and 2034;- targeted capital expenditure in the TMT segment at 6-8% of TMT revenue;- a reduction in the net debt to EBITDA ratio to a sustainable level below 2.5x by 2030.The detailed assumptions underlying the Strategy are presented in the presentation attached to this current report.
